These Terms and Conditions apply to all persons that use the Klu POS services provided by MJ CO., Ltd.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of this Cancellation and Refund Policy:

  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to MJ CO., Ltd., 11/01, 246 Time Square Building, Sukhumvit Road, Bangkok, 10110.
  • Subscription refers to the monthly or annual plan purchased by You for the use of Klu POS service.
  • Service refers to the Klu POS software provided in the form of iOS App and Online Dashboard.
  • iOS App refers to the Klu POS IOS App for iPad used to process sales.
  • Online Dashboard refers to the Klu POS Online Dashboard located at dashboard.klupos.com that is used to manage the business.
  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acceptance of Terms

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service. These Terms specifically cater to the legal and regulatory framework governing cannabis dispensaries in Thailand, ensuring compliance with local laws and regulations.

Eligibility

To use the Service, you must be at least 21 years old or the age of majority in your jurisdiction, whichever is greater, and agree to comply with all applicable laws and regulations governing the sale and distribution of cannabis products. This includes adhering to licensing requirements, tax compliance, and any other legal obligations specific to the operation of a cannabis dispensary in Thailand. Users must also ensure that their use of the Service aligns with any local or regional laws and guidelines pertaining to cannabis use and distribution.

Account Registration

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Klu reserves the right to suspend or terminate accounts that are suspected of containing inaccurate or incomplete information. Each user is responsible for safeguarding their account password and other credentials and for all activities that occur under their account.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Your Company Name and its licensors. The software, associated documentation, and all rights therein, including intellectual property rights, are owned by Your Company Name. Your use of the Service does not grant you any ownership rights or license to reproduce or otherwise use any of Your Company Name or third-party trademarks, service marks, graphics, or logos.

Restrictions

  • Violates any applicable law, regulation, or order
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
  • Jeopardizes the security of your account or anyone else's account (such as allowing someone else to log in to the Service as you)
  • Attempts to, in any manner, gain unauthorized access to any part of the Service or its related systems or networks
  • Uses the Service in any way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Service, or that could damage, disable, overburden, or impair the functioning of the Service in any manner
  • Involves the unauthorized use of any robot, spider, or other automated device or process to access the Service for any purpose or to copy, monitor, or modify any material or information on the Service

Cancellation & Refund Policy

We offer a 7-day trial period during which you can cancel the service without any charges. This policy outlines the specific conditions and procedures for requesting a refund or cancellation, ensuring transparency and ease of understanding for all users.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your Company Name expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Service will meet your requirements, be safe, secure, uninterrupted, timely, accurate, or error-free, or that your information will be secure.

Indemnification

You agree to defend, indemnify, and hold harmless Your Company Name, its officers, directors, employees, agents, and third parties, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms of Service, your violation of any rights of another, or your conduct in connection with the Service. This indemnification obligation will survive the termination of your account or the Service and your use of the Service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Your Jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Please refer to our Privacy Policy, available here, for detailed information on how we collect, use, and disclose information from our users. This policy is integral to our Terms of Service and understanding it is crucial for the informed use of our Service.

User Content

You may be able to submit, upload, or otherwise contribute content to the Service, such as comments, reviews, and other materials. By providing User Content, you grant Your Company Name a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form. You represent and warrant that you own or otherwise control all the rights to the User Content that you post; that the content is accurate; and that use of the content you supply does not violate this policy and will not cause injury to any person or entity.

Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Service ("Feedback"). You may submit Feedback by emailing us, through the contact form on the Service, or by other means of communication. You acknowledge and agree that all Feedback you give us will be the sole and exclusive property of Your Company Name. You hereby irrevocably assign to us all of your right, title, and interest in and to all Feedback, including all intellectual property rights therein.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Your Company Name regarding the Service, and supersede and replace any prior agreements we might have had between us regarding the Service. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Your Company Name's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of Your Company Name.
